Being an employee of a UTC subsidiary, I am very interested in how this is all going to shake out. UTC's Fire & Security business has been trying to compete with ADT and has had very limited success, at least in the US. Their foray into the banking business has blown up in their face, due in combination to the problems occurring in the banking industry as well as difficulty with the assimilation of Red Hawk, the security systems integrator that they purchased late in 2006, into their existing fire & security business (UTCF&S). The acquisition of Diebold would help solidify the UTCF&S product line, yet at the same time could also hurt their ATM sales since Red Hawk is NCR’s largest ATM VAR.
If this turns into a hostile takeover, this could drag out a long time.
