Coweta County has hit rock bottom. How low can you go!Commissioners do not do their homework. AMR walked out on Carrol county. I fear a lot of LOCAL people will lose their jobs! Should have stuck with Vital Care!

Funny how ccfd did not purchase defib units that correlated with vital care "the current ems provider" . Funny that Teeter the peter eater had a prior relationship with AMR in Carolina. And funny that Corker said he received excellent references from others? I wish the paper had clarified the "others".
Hey TTPE! Half the county already knows that the goal is to combine EMS and Fire so just come out and say it! If you had enough medical people you would have done so already.I don't understand the silence on the issue.
Another thing the paper said was that AMR was a PUBLICLY TRADED COMPANY. Not true now.
Emergency Medical Services Corporation (NYSE: EMS)("EMSC" or "the Company") issued a press release announcing that it has signed a definitive agreement to be acquired by an affiliate of Clayton, Dubilier & Rice, LLC. This release referred to a $3.2 billion transaction value. This value comprises an equity purchase price of $64.00 per share with approximately 45.5 million net diluted shares and LP Exchangeable Units outstanding. The transaction value also includes net debt and estimated transaction costs of approximately $300 million.
Those who held stock have now filed a lawsuit claiming that their stock was udervalued.
You see with the full implementation of OBAMACARE coming the super rich see a chance here to make big money.
Not really a big deal in lil ol Coweta but it would be nice to know that the county has entered into a contract with a company that is under a huge lawsuit huh?
I guess TTPE just thinks we're a buncha dumb hicks!

Brower Piven Announces Class Action Lawsuit in Connection With the Acquisition of Emergency Medical Services Corporation by Clayton, Dubilier & Rice, LLC

STEVENSON, MD--(Marketwire - February 24, 2011)- The law firm of Brower Piven, A Professional Corporation, announces that a class action lawsuit has been commenced in the United States District Court for the District of Colorado on behalf of all shareholders of Emergency Medical Services Corporation ("EMSC")(NYSE: EMS).

The complaint alleges violations of state law by the Board of Directors of EMSC relating to the proposed acquisition of the company by Clayton, Dubilier & Rice, LLC ("CD&R"). The complaint alleges that EMSC's Board of Directors breached their fiduciary duties by failing to maximize shareholder value, among other things.

On February 14, 2011, the complaint states, EMSC and CD&R announced that they entered into a definitive Agreement and Plan of Merger for EMSC to be acquired by CD&R in a transaction valued at approximately $3.2 billion. The complaint alleges that under the terms of the agreement, EMSC shareholders will receive $64.00 in cash for each share of EMSC Class A common stock and Class B common stock and each LP Exchangeable Unit. The complaint alleges that the Proposed Acquisition significantly undervalues EMSC, since it represents approximately a 9.4% decline over EMSC's closing share price on February 11, 2011 of $70.66, the last day before the transaction was announced. The complaint alleges that analysts have asserted that they "had expected the range to be between $70 and $75" and that "[m]ost analysts and investors alike would agree that based on the pure operational potential of the company in 2011 you could easily value it above $70." The complaint also alleges that the defendants failed to disclose or explain the components of the "transactional costs" estimated at $300 million included in the purchase price for its $3.2 billion leveraged buyout, when transaction fees on a deal this size typically amount to $30 million. The complaint states that at least one analyst speculates that the "costs" must include some kind of payment to Onex Corporation, which owns 31% of EMS and has a management agreement that pays it a couple of million dollars a year. The complaint further alleges that rather than acting in the best interests of the shareholders, defendants spent substantial effort in securing material benefits for themselves as a result of the Proposed Acquisition, including the accelerated vesting and monetization of illiquid equity holdings in the Company and change of control severance payments, which will provide tens of millions of dollars in gains to the Board and members of EMSC's management

Wow...that is eye opening. I am sure Teeters and the other Dummies at the Fire Department influenced this decision. This is such a HUGE mistake and I cannot believe how quietly it has taken place. Where is the OUTCRY! Come on. At some point someone is going to have to stand up to the idiots in charge and say enough is enough.

Do you people really think the fire department had something to do with this? Maybe it was just a good financial decision on the commisions part.
They most likely did it because they thought they could get a better service at a cheaper price.
I'm sure the fire dept. does not want to get into running the medical side of things,that would be a financial disaster would it not? Atleast a private company is able to write off their losses,what does a county govt. do? They just have to eat the loss ,right? And what about those calls that are reimbursed by those programs called medicaid and medicare?I understand that sometimes services are only reimbursed a at a rate of 14 cents on the dollar ond we all know there are alot of deadbeats in coweta.
I'm sure our county is not gonna try and take over that nightmare!

It spoke volumes when the current Fire Chief was not at the Commissioners Meeting for this matter. He was out of town at a "conference". But that is what happens when you pay big bucks for an out of town Fire Chief that wanders in on Monday afternoon and leaves to go home on Thursday. Teeters had no vested interest nor roots in this community. The long term effect on the community is not his concern. He's here until the paychecks run out, then thank God and Greyhound he's gone back to North Carolina!

DODO BIRD, maybe you should change your name to Cuckoo Bird. Did you read in the local paper recently that the CCFD just put Advanced Cardiac Life Support equipment on fire eingines and now they are having a paramedic class? If you are going to make comments at least keep up with the issues. Or maybe you are a PARROT, just a talking head repeating what you were told to say.

Now Ima Voter you know that is not true. I can't imagine that the bunch runnin that dept. would ever try to do something like that. I know alot of them and they are a buncha great guys!Honest,trustworthy,loyal, helpful, friendly,well you get the idea. Like a whole lotta boy scouts over at that place. Just great people that only want the best for this county!

Dodo Bird, Apparently those whacko's have brainwashed you. Bless your heart. But it is true, the CCFD, along with the buddy system, commissioners influenced this BIG TIME!!! Booting out Vital Care stinks! The CCFD is ran by a corrupt bunch. Yes, there are some very good firefighters. No argument there.

Did anyone know that DeKalb, Cobb and Cherokee kicked AMR out of their Counties because they couldn't fulfill their contractual obligations ? Did you know AMR has had 6 GM changes in the past two years ? How long will it be before AMR can not fulfill it's obligation to Coweta Co.

Well AMR just violated their contract with Coweta Co. and they haven't even taken over yet. They promised to by Zoll cardiac monitors to be compatible with the Fire Dept's. Well their not. They are going to use the Life Pack monitors. Hmmmmm violating the contract before they take over. How bad will it be after they take over ? Makes me wonder.

Heard AMR had a 42 minute response time to a call yesterday. They also wrecked an ambulance. Hope everyone was OK, including the patient that waited 42 minutes for an ambulance.

Just to fill in all the citizens.......MOST private service EMS services SUCK.They hire the cheapest,most in-experienced people they can find.Usually,part-time people who are just looking for extra cash for a few months.

Fire Dept EMS services are usually minimally trained Firemen who just got stuck doing the job for the day.They would rather be polishing a fire truck and cooking or napping than running Ambulance calls.

If you want a real EMS that provides standard of care.......You must have a free-standing EMS service!No privates,No Firemen....But REAL PARAMEDICS!!!!!!

Anything else is just budget crunching!

All this fuss over Vital Scare? Good grief, the place shares an office with a cab stand! All the people who want to work in Coweta will get jobs with AMR and those who don't aren't losing a whole heck of a lot, about 9 bucks an hour for EMT's. Yeah you can make more at Home Depot than that hole. What is Melvin doing with all his money because he certainly wasn't giving it to the employees. AMR will probably give those guys a much deserved raise and provide a better service.

Thank them for not going with the over priced poorly designed Zoll monitors. Life Pack is still the best I have worked with all brands and can say Zoll is unreliable and terrible..
