If you are a stock holder in a private company, you have a vote or votes. It may only be a vote for who is on the Board of Directors. But the Board members are the ones that determine the contract offered to the CEO. In that way, you sure as hell do have a say in the pay o the CEO.

Now, that does not mean that they would ever listen to an ignoramous like you. But you do have a vote.
